Introduction

These Terms of Service ("Terms") govern your access to and use of Cohrt ("we," "our," or "us"), an AI persona platform available at https://www.cohrt.ai (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Cohrt.

Acceptance of Terms

Agreement to Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

Age Requirements

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are under 18, you may only use the Service with the consent and supervision of a parent or legal guardian.

Authority to Agree

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and the terms "you" and "your" will refer to both you and the organization.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated as described in the "Changes to Terms" section below. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

Description of Service

What Cohrt Provides

Cohrt is an AI persona platform that enables you to:

  • Create AI Agents: Build and configure AI personas (digital twins) that represent you or members of your team
  • Knowledge Management: Upload documents, link external sources, and provide personal information to enhance agent knowledge
  • Conversation Management: Engage in conversations with AI agents that use your knowledge, tone, and guidelines
  • Integration Capabilities: Connect third-party services (GitHub, ClickUp, Harvest, Sanity, Contentful, WordPress, etc.) to extend agent functionality
  • Team Collaboration: Invite team members to participate in conversations with your agents
  • Analytics and Logging: Review conversation logs and agent performance

Service Availability

  • The Service is provided on an "as available" basis
  • We do not guarantee uninterrupted or error-free access to the Service
  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time
  • We are not liable for any unavailability or interruption of the Service

AI Technology

The Service uses artificial intelligence and machine learning technologies, including:

  • Large Language Models (LLMs) accessed through OpenRouter
  • Retrieval-Augmented Generation (RAG) for knowledge retrieval
  • Natural language processing for conversation management

AI-generated content may contain errors, inaccuracies, or may not reflect your intended meaning. You are responsible for reviewing and verifying all AI-generated content.

User Accounts

Account Creation

To use the Service, you must create an account by providing:

  • A valid email address
  • A secure password
  • Your full name
  • Any other information we may require

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that your account information is accurate and up to date

Account Types

The Service supports two account types:

  • Account Owners: Full access to create agents, manage integrations, invite team members, and access all features
  • Team Members: Access to participate in conversations with agents as invited by account owners

Account Termination

You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in any fraudulent, illegal, or harmful activity.

Acceptable Use Policy

Prohibited Activities

You agree not to use the Service to:

  • Illegal Activities: Violate any applicable laws, regulations, or third-party rights
  • Harmful Content: Create, upload, or share content that is:
    • Defamatory, libelous, or slanderous
    • Harassing, threatening, or abusive
    • Discriminatory or hateful
    • Obscene, pornographic, or sexually explicit
    • Violent or promoting violence
  • Intellectual Property Violations: Infringe upon copyrights, trademarks, patents, trade secrets, or other intellectual property rights
  • Fraud and Deception: Engage in fraudulent activities, impersonation, or misrepresentation
  • Security Violations:
    • Attempt to gain unauthorized access to the Service or other accounts
    • Interfere with or disrupt the Service or servers
    • Introduce viruses, malware, or other harmful code
    • Reverse engineer, decompile, or disassemble any part of the Service
  • Spam and Abuse:
    • Send unsolicited communications
    • Use the Service for spam or phishing
    • Overload or abuse Service resources
  • Data Mining: Scrape, crawl, or extract data from the Service without authorization

Content Restrictions

You may not upload, share, or process content that:

  • Contains sensitive personal information of others without consent
  • Violates privacy rights or data protection laws
  • Contains confidential or proprietary information you do not have rights to share
  • Is designed to harm, exploit, or manipulate others

Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations when using the Service, including but not limited to:

  • Data protection and privacy laws (GDPR, CCPA, etc.)
  • Intellectual property laws
  • Export control laws
  • Anti-spam laws
  • Industry-specific regulations

User Content

Ownership of User Content

You retain all ownership rights to content you create, upload, or provide to the Service ("User Content"), including:

  • Documents and files you upload
  • Agent configurations and prompts
  • Messages and conversations
  • Integration credentials and settings

License to Cohrt

By using the Service, you grant Cohrt a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your User Content as necessary to provide the Service
  • Use your User Content to generate AI responses and improve our services
  • Create backups and maintain service availability
  • Comply with legal obligations

This license continues for as long as your User Content is stored on our systems.

Content Responsibility

You are solely responsible for:

  • The accuracy, legality, and appropriateness of your User Content
  • Ensuring you have all necessary rights and permissions to use and share your User Content
  • Any consequences of sharing User Content through the Service
  • Obtaining consent before sharing personal information of others

Content Removal

We reserve the right to remove or disable access to any User Content that:

  • Violates these Terms or our Acceptable Use Policy
  • Violates applicable laws or regulations
  • Infringes upon third-party rights
  • Is harmful, offensive, or inappropriate

We may remove content without prior notice, though we will attempt to notify you when possible.

AI-Generated Content

Disclaimers

Important: The Service uses artificial intelligence to generate responses. AI-generated content:

  • May contain errors, inaccuracies, or outdated information
  • Should not be considered professional, legal, medical, or financial advice
  • May not always reflect your intended meaning or voice
  • May generate content that is inappropriate, biased, or offensive
  • Is generated based on patterns in training data and may not be factually accurate

No Warranty on AI Outputs

We make no warranties or representations regarding:

  • The accuracy, reliability, or completeness of AI-generated content
  • The suitability of AI-generated content for any particular purpose
  • The absence of errors, bugs, or defects in AI responses
  • The consistency of AI responses over time

User Responsibility

You are responsible for:

  • Reviewing and verifying all AI-generated content before use
  • Not relying solely on AI-generated content for critical decisions
  • Ensuring AI-generated content complies with applicable laws and regulations
  • Taking appropriate action if AI-generated content is inaccurate or inappropriate
  • Not using AI-generated content in ways that could cause harm

Third-Party AI Models

The Service uses third-party AI models (via OpenRouter) that we do not control. We are not responsible for:

  • The quality, accuracy, or availability of third-party AI models
  • Changes to AI model behavior or capabilities
  • Discontinuation of AI model access
  • Content generated by third-party AI models

Intellectual Property

Cohrt's Intellectual Property

The Service, including its design, features, functionality, and content (excluding User Content), is owned by Cohrt and protected by intellectual property laws. This includes:

  • Software code and algorithms
  • User interface and design elements
  • Trademarks, logos, and brand names
  • Documentation and help materials
  • Proprietary technology and know-how

Limited License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for your personal or internal business purposes
  • Use features and functionality as provided by the Service

This license does not permit you to:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or attempt to extract source code
  • Remove or alter any proprietary notices
  • Use the Service for competitive purposes

User Content Ownership

As stated in the "User Content" section, you retain ownership of your User Content. You grant us a license to use your User Content only as necessary to provide the Service.

Trademarks

"Cohrt" and related logos are trademarks of Cohrt. You may not use our trademarks without our prior written consent.

Payment Terms

Subscription Fees

If you subscribe to a paid plan:

  • Subscription fees are billed in advance on a monthly or annual basis
  • Fees are non-refundable except as required by law or as stated in our refund policy
  • You authorize us to charge your payment method for all fees

Payment Processing

  • Payments are processed by third-party payment processors
  • You agree to provide accurate payment information
  • You are responsible for maintaining valid payment methods
  • We reserve the right to change payment processors

Price Changes

We may modify subscription prices at any time. Price changes will:

  • Be communicated to you in advance
  • Apply to your next billing cycle (for existing subscribers)
  • Not affect your current billing period

Refunds

Refund policies, if applicable, will be communicated at the time of purchase. Generally:

  • Subscription fees are non-refundable after the billing period has started
  • Refunds may be provided at our discretion for service failures or errors
  • Refunds will be processed to the original payment method

Free Plans

We may offer free plans with limited features. Free plans:

  • May be modified or discontinued at any time
  • Are subject to usage limits and restrictions
  • Do not include support or service level agreements

Service Modifications

Right to Modify

We reserve the right to:

  • Modify, update, or change any aspect of the Service at any time
  • Add, remove, or modify features and functionality
  • Change service availability, performance, or capabilities
  • Discontinue features or services

Notification of Changes

We will attempt to notify you of material changes to the Service, but we are not obligated to do so. It is your responsibility to:

  • Review the Service periodically for changes
  • Check for updates to these Terms
  • Adapt to changes in the Service

Service Discontinuation

We reserve the right to discontinue the Service or any part thereof at any time. If we discontinue the Service:

  • We will provide reasonable notice when possible
  • You may export your data as described in our Privacy Policy
  • We are not liable for any losses resulting from service discontinuation

Termination

Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings
  • Contacting us at support@cohrt.ai

Upon termination:

  • Your access to the Service will be immediately revoked
  • Your account and data will be deleted according to our data retention policies
  • You remain responsible for any fees incurred before termination

Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, illegal, or harmful activity
  • You fail to pay required fees
  • We are required to do so by law
  • You breach any agreement with us

Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and User Content
  • You remain liable for all obligations incurred before termination
  • Provisions that by their nature should survive termination will remain in effect

Data Retention After Termination

After account termination:

  • We may retain your data for a limited period as described in our Privacy Policy
  • You may request data export before termination
  • Some data may be retained for legal compliance or dispute resolution

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS

No Warranties

We do not warrant that:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Defects or errors will be corrected
  • The Service is free of viruses or other harmful components

AI Content Disclaimers

We specifically disclaim any warranties regarding:

  • The accuracy, reliability, or completeness of AI-generated content
  • The suitability of AI-generated content for any purpose
  • The absence of errors, biases, or inappropriate content in AI responses
  • The consistency or predictability of AI behavior

Third-Party Integrations

We do not warrant or guarantee:

  • The availability, functionality, or reliability of third-party integrations
  • The security of data shared with third-party services
  • The compliance of third-party services with applicable laws
  • The accuracy of data retrieved from third-party services

Limitation of Liability

Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COHRT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITIES
  • PERSONAL INJURY OR PROPERTY DAMAGE
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE

Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

AI-Related Liability

We are not liable for:

  • Decisions made based on AI-generated content
  • Errors, inaccuracies, or biases in AI responses
  • Harm caused by reliance on AI-generated content
  • Content generated by third-party AI models

Indemnification

You agree to indemnify, defend, and hold harmless Cohrt and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights (including intellectual property or privacy rights)
  • Your User Content
  • Your use of AI-generated content
  • Your connection of third-party integrations
  • Any activity conducted through your account

This indemnification obligation will survive termination of these Terms and your use of the Service.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to its conflict of law provisions.

Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Douglas County, Nebraska, and you hereby consent to the personal jurisdiction of such courts.

Informal Resolution

Before filing a formal legal claim, you agree to:

  • Contact us at legal@cohrt.ai to attempt to resolve the dispute
  • Provide a written description of the dispute and your proposed resolution
  • Allow us 30 days to respond and attempt to resolve the dispute

Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class, consolidated, or representative action.

Changes to Terms

Modification Rights

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of these Terms
  • Material changes will be communicated via email to registered users
  • The updated Terms will be posted on this page

Material Changes

Material changes include, but are not limited to:

  • Changes to payment terms or pricing
  • Changes to dispute resolution procedures
  • Changes to user rights or obligations
  • Changes to service availability or features

Continued Use

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree with the changes:

  • You must stop using the Service
  • You may terminate your account as described in the "Termination" section
  • You may request deletion of your account and data
